3. Eligibility

We do not guarantee:

  • Lead accuracy in all cases

  • Conversion rates

  • Business outcomes

8. Billing & Payments

Setup & Subscription

At signup, you will be charged:

  • A one-time setup fee

  • The first month of platform access

Monthly Billing

Subscriptions are billed monthly and renew automatically unless canceled prior to the billing date.

Lead Packages

  • Lead packages are prepaid and purchased separately

  • You are only charged when you choose to purchase leads

  • No automatic lead billing occurs

No Refund Policy

  • All charges are non-refundable.

  • Plans renew automatically unless canceled before the renewal date.

9. Automatic Renewal

Your subscription will automatically renew each billing cycle unless canceled before the renewal date.

10. Data & Compliance Responsibility

You agree to:

  • Use all data in compliance with applicable laws (including TCPA, CAN-SPAM, and privacy laws)

  • Obtain proper consent where required

  • Use data responsibly and ethically

11. TCPA, CAN-SPAM & Outreach Compliance

The Company does not guarantee that any Lead or contact data provided through the Service includes prior express consent for:

  • The Telephone Consumer Protection Act (TCPA)

  • The CAN-SPAM Act

  • State and federal privacy laws

  • Do Not Call (DNC) regulations

  • Any other applicable marketing, data protection, or consumer communication laws

No Consent Representation

By using the Service, You acknowledge and agree that You are solely responsible for ensuring that all outreach, communications, and marketing activities conducted using data obtained through the Service comply with all applicable laws and regulations, including but not limited to:

  • Phone calls

  • SMS or MMS messaging

  • Email marketing

  • Automated or prerecorded communications

You are responsible for obtaining any legally required consent before initiating contact.

Prohibited Activities

You agree NOT to:

  • Send unsolicited bulk communications in violation of applicable laws

  • Use automated dialing systems or messaging platforms without proper consent

  • Contact individuals listed on federal or state Do Not Call registries without proper authorization

  • Misrepresent your identity or business when contacting leads

  • Use the data for harassment, abuse, or deceptive practices

Indemnification for Outreach Activities

You agree to indemnify, defend, and hold harmless the Company from any claims, damages, fines, penalties, or legal actions arising from:

  • Your use of Lead data

  • Your outreach methods

  • Any violation of TCPA, CAN-SPAM, or other applicable laws

No Legal Advice

The Company does not provide legal advice regarding compliance. You are encouraged to consult with legal counsel to ensure your outreach practices comply with all applicable laws.

12. Intellectual Property

All platform content, technology, and systems remain the property of the Company.

13. User Content

You retain ownership of content you provide but grant us permission to use it in connection with the Service.

14. Monitoring & Enforcement

We may suspend or terminate accounts for:

  • Violations of these Terms

  • Non-payment

  • Misuse of data

15. Termination

We may terminate access at any time for violations of this Agreement.

16. No Warranty

The Services are provided “as-is” and “as available.” We disclaim all warranties, including merchantability, fitness for purpose, and non-infringement.

17. Limitation of Liability

We are not liable for:

  • Indirect or consequential damages

  • Loss of revenue or business

Maximum liability is limited to fees paid in the last 12 months.

18. Indemnification

You agree to indemnify the Company against claims resulting from:

  • Misuse of data

  • Violations of laws

  • Improper marketing practices

19. Dispute Resolution & Arbitration

This Agreement is governed by the laws of the State of Colorado, Arapahoe County.

Any dispute, claim, or controversy arising out of this Agreement or the Services shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration shall take place in Arapahoe County, Colorado.

  • You agree to waive jury trials and class actions.

  • All arbitrations shall proceed individually (no consolidated or class arbitrations).

  • If arbitration is not enforceable for a specific claim, it may be brought in Colorado state or federal court.

20. Miscellaneous

  • Waiver: No waiver is binding unless in writing.

  • Severability: If any provision is invalid, the rest remains enforceable.

  • Entire Agreement: This document is the entire agreement between you and the Company.

  • Assignment: You may not assign rights; we may assign freely.

  • Export Laws: You agree to comply with U.S. export laws.
